Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the SOPX app (“SOPX,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

These Terms supplement Apple’s Standard Licensed Application End User License Agreement (Standard EULA). Both apply; if they conflict, the Standard EULA governs app licensing on Apple platforms.


Who may use SOPX

You must be 18+ (or the age of majority where you live) and, if acting for an organization, you have authority to bind it.


Subscriptions and Billing

Billing Authority: All charges for in-app purchases and auto-renewable subscriptions are processed by and are under the control of Apple (the App Store). We do not process or store your financial information.

Auto-Renewal: Your subscription will automatically renew unless auto-renewal is turned off in your iTunes/App Store Account Settings at least 24 hours before the end of the current period.

Cancellation and Refunds: You must manage your subscription and turn off auto-renewal via your Apple ID settings. All requests for refunds must be submitted directly to Apple through the App Store and are subject to Apple’s terms and conditions.

Price Changes: If the subscription price increases, Apple will notify you. The new price will take effect upon the next renewal date, unless you cancel your subscription.

Any unused portion of a free trial may be forfeited upon purchase.


Privacy

Your use is governed by our Privacy Policy on our website. It explains what we collect, how we use it, retention/deletion options, and your rights.


Your account & security

  • Keep your credentials secure and maintain accurate account information.
  • You’re responsible for all activity under your account, including activity by your organization’s members.


Your content & ownership

  • You retain ownership of the SOPs, documents, data, prompts, and other content you submit (“User Content”).
  • You grant SOPX a limited, worldwide, non-exclusive license to host, process, index, and transform User Content solely to provide the Service (e.g., search, versioning, AI answers for your workspace).
  • You represent and warrant that you have all rights necessary to upload and use the User Content with the Service.


User responsibility for SOP accuracy & use

  • You (and your organization) are solely responsible for the accuracy, completeness, and legality of your SOPs and any content you provide.
  • AI outputs can be wrong, incomplete, or out-of-date. You must evaluate, verify, and validate any AI answer before relying on it, especially for safety-critical, dangerous, regulated, or professional uses (e.g., medical, legal, financial, HR, engineering, chemical/industrial processes).
  • High-risk disclaimer. The Service is not designed for use in situations where errors could lead to death, personal injury, environmental/physical damage, or severe financial loss. You must not use the Service as the sole source of instructions for any hazardous activity; always apply human review and independent verification by qualified personnel.
  • You agree that SOPX has no responsibility or liability for damages arising from (a) errors or omissions in your User Content, (b) your reliance on AI outputs without adequate review, or (c) actions taken based on such outputs.


Prohibited conduct

You will not:

  • Use the Service unlawfully or to violate others’ rights (IP, privacy, export, or trade laws).
  • Upload content that is illegal, harmful, misleading, or that you are not authorized to share.
  • Attempt to reverse engineer, interfere with, or bypass security/usage limits.
  • Use the Service to build competing datasets or models, or to provide outputs to third parties in a way that violates these Terms.


Third-party services & Apple

  • The Service may link to or rely on third-party services; their terms and privacy policies apply to those services.
  • Apple is not responsible for the Service and has no obligation to furnish maintenance or support except as required by the Standard EULA; Apple and its subsidiaries are third-party beneficiaries of these Terms to the extent the Standard EULA says so.


Changes to the Service

We may modify, suspend, or discontinue features, plans, or access (including for maintenance, security, or legal reasons).


Termination

  • You may stop using the Service at any time and may delete your account in-app (see Privacy Policy for deletion effects).
  • We may suspend or terminate your access (with or without notice) if you violate these Terms, create risk, or cause harm.
  • Upon termination, your license ends and you must stop using the apps and Service.


Intellectual property; feedback

  • SOPX and its logos, UI, and code are protected by IP laws. Except for the rights expressly granted, no license is conveyed.
  • Feedback. If you send ideas or suggestions, you grant SOPX a royalty-free, perpetual license to use them without restriction.


Confidentiality

1. Our Confidential Information. You acknowledge that the non-public aspects of the Service, including its pricing (if customized), unreleased features, technical documentation, and performance benchmarks, constitute proprietary and confidential information belonging to SOPX. You agree not to disclose or use any such information without our prior written consent.

2. User Content Confidentiality. SOPX will treat your User Content (SOPs, drafts, documents, etc.) as your Confidential Information. We will maintain commercial best efforts to protect this data and will not disclose it to any third party except as strictly necessary to provide the Service (as permitted by our Privacy Policy) or as required by law.


Export Control and Legal Compliance

You represent and warrant that you are not located in a country that is subject to a U.S. Government, European Union (E.U.), or United Nations (U.N.) embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country. You agree to comply with all applicable export and re-export control laws and regulations of the Republic of Lebanon, the United States, and any other relevant jurisdiction regarding the access, use, or export of the Service or any SOPX technology.


No warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOPX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND NON-INTERFERENCE. WE DO NOT WARRANT THAT OUTPUTS WILL BE ERROR-FREE, SAFE FOR ANY PARTICULAR USE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.


Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOPX, ITS AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Nothing in these Terms limits liability for gross negligence, willful misconduct, or liability that cannot be excluded under applicable law.


Indemnification

You will defend, indemnify, and hold harmless SOPX and its affiliates, officers, employees, and agents from any claim, demand, loss, or damages (including reasonable attorneys’ fees) arising from or related to: (a) your User Content (including its accuracy, legality, or disclosure), (b) your use of the Service (including reliance on AI outputs), or (c) your violation of these Terms or applicable law.


Governing Law & Venue

These Terms are governed by the laws of the Republic of Lebanon, excluding its conflict-of-law rules. Exclusive jurisdiction and venue lie in the courts of Beirut, Lebanon, and the parties consent to personal jurisdiction there. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information. This clause does not limit any mandatory consumer protections of a user’s place of residence where applicable. To the fullest extent permitted by law, disputes must be brought on an individual basis and not as a class or representative action, and any claim must be filed within one (1) year after it arose or be permanently barred.


Survival

The following sections shall survive the termination or expiration of these Terms: "Subscriptions and Billing" (for accrued fees), "Your content & ownership" (for the license granted to SOPX), "User responsibility for SOP accuracy & use," "Confidentiality," "Prohibited conduct," "Intellectual property; feedback," "No warranties," "Limitation of liability," "Indemnification," and "Governing Law & Dispute Resolution."


Updates to these Terms

We may update these Terms from time to time. We’ll post the updated Terms and update the “Last updated” date above. Material changes will be notified in-app or by email, and your continued use constitutes acceptance.
